CASEpeer IQ Terms

1.Overview

CASEpeer IQ are features within the CASEpeer platform, enabled via OpenAI Technology, that allows users to perform AI powered tasks as selected by Customer. As used herein, “the Services” refers to both CASEpeer IQ and any other CASEpeer Services used by you or on your behalf in connection with CASEpeer IQ. 

These CASEpeer IQ Terms apply in addition to, and not in lieu of, the CASEpeer Customer Agreement. To the extent there is any conflict between these CASEpeer IQ Terms and any terms within the CASEpeer Customer Agreement, these CASEpeer IQ Terms shall control.

2.Definitions
 
2.1 “AI Model” means a representation of a function, logic, or knowledge in an AI solution that processes input data to generate output data. Examples of AI models include knowledge graphs, decision trees, neural networks, and deep learning networks.

2.2 “Artificial Intelligence” means the development of computer systems and software that can perform tasks typically requiring human intelligence, such as visual perception, text generation, and natural language understanding. 

2.3 “Input” means data you provide that is used as input for the execution of an AI solution or for training and validation purposes. Input data may include, without limitation, text, numbers, actions, images, forms, fields, and related data.

2.4 “Output” means data generated by an AI model as a result of processing Input data. Output data may include predictions, classifications, prescribed actions, or new data generated by AI models, such as generative adversarial models that produce new text.

2.5 “Personal Data” has the same meaning as “Personally Identifiable Information” under the CASEpeer Customer Agreement. 

2.6 Any undefined terms used herein have the same meaning as set forth in the CASEpeer Customer Agreement.

3.Content

3.1 Customer Content. You may provide Input to CASEpeer IQ, and receive Output from CASEpeer IQ based on the Input. Such Input and Output together is referred to herein as “Customer Content.” As between you and CASEpeer, and to the extent permitted by applicable law, you retain all ownership rights in Input, and you license such Inputs to CASEpeer in accordance with these CASEpeer IQ Terms.

3.2 Our Obligations for Customer Content. We will process and store Customer Content in accordance with the CASEpeer Privacy Policy. We will use Customer Content as necessary in connection with the performance, development, and improvement of Services, to enforce CASEpeer policies, and to comply with federal, state, or local laws. While OpenAI may retain Customer Content for 30 days, this data will not be used to train any OpenAI models. We reserve the right to retain Customer Content for purposes including, but not limited to, identifying abuse of the Services. 

3.3 Your Obligations for Customer Content. You are responsible for all Input and represent and warrant that you have all rights, licenses, and permissions required to provide Input to the Services and to enable the processing and retention of any Personal Data included in the Inputs by CASEpeer and our service providers. By providing any Personal Data within your Inputs, you agree to the CASEpeer Privacy Policy and all restrictions on Personal Data described therein. CASEpeer shall not be obligated to verify or validate any Inputs or Outputs. You are solely responsible for all use of the Outputs and evaluating the Output for accuracy and appropriateness for your use case, including by utilizing human review. You must carefully review and validate all Customer Content before relying on it for any purpose. 

3.4 Similarity of Output. You acknowledge that due to the nature of our Services and artificial intelligence generally, Output may not be unique and other users may receive similar content from our services. Responses that are requested by and generated for other users are not considered your Output. 

3.5. Quality of Output. You acknowledge and agree that CASEpeer IQ uses nascent technology, and any Output may not meet your desired use including, without limitation, that it may be inaccurate, incomplete, or offensive. 

4. Restrictions

4.1 You will not, in connection with your use of the Services:

(a) use Customer Content (as defined below) in a manner that violates any applicable laws, these CASEpeer IQ Terms, the CASEpeer Customer Agreement, or any policies applicable to CASEpeer Customers, including the Usage Policy and/or the Privacy Policy;

(b) use the Customer Content in a manner that infringes, misappropriates, or otherwise violates any third party’s rights;

(c) include in any Input material or information that requires a government license for release or export; or

(d) engage in the unauthorized practice of law, or offer legal advice without a qualified person reviewing the information. CASEpeer IQ is designed to assist legal professionals with streamlining their law practice and communications, but it is not a substitute for legal judgment or analysis. You may not rely on CASEpeer IQ as a source of legal research or advice.

4.2 No AI/ML Training. You must not, and must not allow third parties to, use any input, data, or other information received or derived from CASEpeer IQ, including any Outputs, to directly or indirectly create, train, test, or otherwise improve any machine learning algorithms or artificial intelligence systems, including any architectures, models, or weights.

5. Indemnification

In addition to your indemnification obligations in the CASEpeer Customer Agreement, you agree to indemnify, defend, and hold us and our affiliates and licensors harmless against any liabilities, damages, and costs (including reasonable attorneys’ fees) payable to a third party arising out of a third party claim related to (a) use of the Services in violation of this Agreement (including violation of any CASEpeer policies) or (b) Input.

6. Privacy

6.1 Personal Data. If you use the Services to process Personal Data, you represent and warrant that you have and shall maintain for the duration of your use of the Services all necessary rights, consents and authorizations necessary to authorize CASEpeer and its service providers to use, disclose, retain and otherwise process the Personal Data in connection with the Services. As a condition of using the Services to process Personal Data, you must (a) provide required privacy notices and obtain any required  consents for individuals for the processing of Personal Data by the Services, (b) process Personal Data in accordance with applicable law, and (c) comply at all times with the CASEpeer Privacy Policy

6.2 Restrictions. You will not, in connection with your use of CASEpeer IQ: (a) send CASEpeer any Personal Data of children under 13 or the applicable age of digital consent or allow minors to use the CASEpeer Services or Customer Content without consent from their parent or guardian; (b) send CASEpeer any Protected Health Information (PHI) as that term is defined within the Health Insurance Portability and Accountability Act of 1996 (HIPAA); (c) send CASEpeer any Cardholder Data as that term is defined by the Payment Card Industry Security Standards Council; or (d) take any action that renders the processing a sale or sharing of Personal Data under applicable data protection laws.

7. Modifications. CASEpeer may, in our sole discretion, modify, or update these CASEpeer IQ Terms from time to time. Your continued use of CASEpeer IQ after any such change constitutes your acceptance of any modifications to these Terms.
